总经理有权任命和罢免下属人员，以及行使执行董事授权的其他职责、
权力和任务。
Article 12 Alteration of Registered Capital
The Company shall not decrease the registered capital within the
operation period, while the increase, transfer of the amount of registered
capital of the Company shall be subject to the approval of the original
examination and approval authority and the application for alteration of
the registered capital with the administration for industry and commerce.
1 Chapter 4 Foreign Exchange Control
Article 13 Applicable Laws
Any matters of foreign exchange in connection with or in behalf of the
Company shall comply with the Regulations on Exchange Control of the
People’s Republic of China and other relevant laws and regulations.
Article 14 Foreign Exchange Account
The Company shall use its best efforts to keep foreign exchange balance.
The Company may open the foreign currency and Renminbi accounts
with the appropriate bank of China recognized by the State
Administration of Foreign Exchange of the PRC and having commercial
dealings with the Company.
Article 15 Foreign Exchange Balance
The Company may take all sorts of measures permitted by the PRC laws
to keep the balance of the foreign currency.
Article 16 Profits
The after-tax profits obtained by the Company, after making up the loss
of the previous year, can be remitted to the investor’s bank account.
2 Chapter 6 Business Management Organizations
Article 25 Management Organizations
The Company has no board of directors. The managing director shall be
the legal representative of the Company. The Company shall establish a
business management organization, which shall be responsible for the
daily management of the Company. The business management
organization shall have one (1) General Manager, directly responsible to the managing director, implementing the decisions of the Company and
organizing and taking in charge of Company’s daily operation and
management.
Article 26 Appointment and Term of General Manager
The General Manager shall be appointed by the investor with its office
term to be three (3) years and may be re-appointed.
Article 27 Responsibilities and Duties of General Manager
The responsibilities and duties of the General Manager is to take in
charge of the business activities of the Company, as well as the daily
administration of the Company. The General Manager shall have the
right to appoint and dismiss its subordinates, and exercise other duties,
powers and tasks authorized by the managing director.
