一、定义

股权转让变更登记，是指立法部门为了保护股权变更前后的所有股东合法权益以及公司外部债权人等相应民事主体的合法权益，要求相关义务人在公司股权转让后履行的变更登记行为。

二、内容

三、程序

有限责任公司股东转让股权的，在转让股权之日起30日内申请变更登记。申请时需要提供如下材料：

1、法定代表人签署的《公司变更登记申请书》(公司加盖公章);

2、公司签署《公司股东(发起人) 出资情况表》(公司加盖公章);

3、公司签署的《指定代表或者共同委托代理人的证明》(公司加盖公章) 及指定代表或委托代理人的身份证复印件(本人签字) ，应标明具体委托事项、被委托人的权限、委托期限。

4、有限责任公司提交股东会决议(由全体股东签署，股东为自然人的由本人签字; 自然人以外的股东加盖公章); 有限责任公司未就股东转让股权召开股东会的或者股东会决议未能由全体股东签署的，应当提交转让股权的股东就股权转让事项发给其他股东的书面通知、其他股东的答复意见，其他股东未答复的，须提交拟转让股东的说明。
